Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ShiftSense AI platform provided by ShiftSense AI Inc. (“ShiftSense,” “we,” “us,” or “our”). By accessing or using the platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using ShiftSense, you represent that you are at least 18 years old, have the authority to enter into these Terms on behalf of your organization, and agree to comply with all applicable laws and regulations.

2. Description of Service

ShiftSense provides an AI-powered workforce optimization platform for Canadian retail and hospitality businesses, including features for demand forecasting, auto-scheduling, shift management, labour cost tracking, compliance monitoring, and performance analytics.

3. Accounts and Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account at hello@shiftsense.ai.

4. Subscription and Billing

ShiftSense offers subscription plans billed monthly or annually in Canadian dollars (CAD). All plans include a 14-day free trial with no credit card required. After the trial, continued use requires a paid subscription. Fees are non-refundable except as required by applicable law.

• Starter: $49 CAD/month — up to 1 location, 25 employees
• Growth: $149 CAD/month — up to 10 locations, unlimited employees
• Enterprise: Custom pricing — unlimited locations and employees

5. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any part of the platform
• Reverse engineer, decompile, or otherwise attempt to extract source code
• Use automated means to scrape or extract data from the platform
• Transmit any content that is harmful, offensive, or violates any third-party rights

6. Data and Privacy

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all data you upload to the platform. By using ShiftSense, you grant us a limited licence to process your data solely to provide the services.

7. Intellectual Property

The ShiftSense platform, including its AI models, algorithms, user interface, and all associated intellectual property, is owned exclusively by ShiftSense AI Inc. and protected by Canadian and international copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for your internal business purposes.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SHIFTSENSE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED FORECASTS AND SCHEDULES ARE RECOMMENDATIONS ONLY AND SHOULD BE REVIEWED BY A QUALIFIED MANAGER.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHIFTSENSE AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate these Terms at any time. You may cancel your subscription from your account settings. We reserve the right to suspend or terminate access if you violate these Terms. Upon termination, your right to use the platform ceases immediately.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.

12. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days’ notice of material changes by email or through the platform. Continued use after the effective date constitutes acceptance of the revised Terms.
